LANGSTON HIGH SCHOOL ALUMNI ASSOCIATION BY-LAWS
ARTICLE I ORGANIZATION
1. The name of the organization shall be Langston High School Alumni Association.
2. The organization may at its pleasure by a vote of the membership body change its name.
3. The office of the corporation shall be located at 127 Pleasant Street, Hot Springs, Arkansas or at the place as may be designated by the Board of Directors from time to time.
ARTICLE II PURPOSES
The following are the purposes for which this organization
has been organized: The organization is organized for charitable, educational
and scientific purposes, including, for such purposes the making of
distributions to organizations that qualify as exempt organizations under
section 501C(3) of the Internal Revenue Code or corresponding section of any
future tax code. The corporation is not for profit and no part of the net
earnings of the corporation shall inure to the benefit of, or be distributable
to its members, trustees, directors, officers, or other private persons, except
that the corporation shall be authorized and empowered to pay reasonable
compensation for services rendered and to make such payments and distributions
in furtherance of the purposes to:
Provide scholarships to students of Hot Springs High School; to provide counseling and guidance to recipients of such scholarships during their course of undergraduate study, if needed; to provide financial assistance where needed and possible to former members of the faculty of the now defunct Langston High School; to engage in any business, whether related or unrelated to those described in this article, that may from time to time, authorized or approved by the Board of Directors of this corporation to created funds for carrying out the purpose of this corporation; AND, to continue the memory, associations, and friendships established during attendance at Langston High School, Hot Springs, Arkansas.
